Interpretation and Definitions

Interpretation

The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

• Application means the software program provided by the Company downloaded by You on any electronic device, named Okami Vision.
• Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google LLC (Google Play Store) in which the Application has been downloaded.
• Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
• Country refers to: United States.
• Company (referred to as either "the Company", "We", "Us" or "Our" in these Terms and Conditions) refers to Okami Development, LLC, doing business as Okami Vision, 2550 E Rose Garden Ln Unit 72181, Phoenix, AZ 85050.
• Device means any device that can access the Service such as a computer, a cell phone or a digital tablet.
• Service refers to the Application (the "App") or the Website, or both.
• Terms and Conditions (also referred to as "Terms") means these Terms and Conditions, including any documents expressly incorporated by reference, which govern Your access to and use of the Service and form the entire agreement between You and the Company regarding the Service.
• Third-Party Social Media Service means any services or content (including data, information, products or services) provided by a third party that is displayed, included, made available, or linked to through the Service.
• User Content means the photographs, images, and any associated data You upload, submit, or otherwise make available through the App, including photos of archery targets and arrow placement.
• Website refers to Okami Vision, accessible from https://okamivision.com
• You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

If You are using the App on behalf of an organization (for example, a coach using the App with a team), You represent that You have authority to bind that organization to these Terms, and "You" refers to both You and that organization.

You represent that You are at least 13 years old. If You are under 18 (or the age of legal majority where You live), You may use the Service only with the involvement and consent of a parent or legal guardian.

The App is not directed to children under the age of 13, and We do not knowingly collect personal information from children under 13. If We become aware that a user under 13 has created an account or submitted personal information, We will take steps to delete that information and terminate the associated account. If You believe a child under 13 has provided Us with personal information, please contact us at [email protected].

By using the App, You represent that You have the legal capacity to enter into a binding contract and are not barred from using the App under the laws of Your jurisdiction.

Your access to and use of the Service is also subject to Our Privacy Policy, which is incorporated by reference into these Terms and describes how We collect, use, and disclose personal information. Please read Our Privacy Policy carefully before using Our Service.

Description of the Service

Okami Vision is a computer-vision-assisted archery scoring application. The App allows users to photograph archery targets, uses automated image analysis to detect arrow placement and scoring rings, and provides an estimated score and related training feedback. The App may include free and paid subscription tiers, as described below.

Not an Official Scoring System. The App is intended as a personal training and practice aid. Scores, measurements, and feedback generated by the App are estimates produced by automated image analysis and are not certified, official, or guaranteed accurate. The App is not sanctioned by, affiliated with, or endorsed by any archery governing body (including but not limited to IBO, ASA, NFAA, or World Archery), and its output should not be relied upon for official competition scoring, handicap calculation, equipment certification, or any purpose requiring certified accuracy. You are solely responsible for verifying scores through official means in any competitive, wagering, or sanctioned context.

No Affiliation with Target Manufacturers. The App may reference third-party target brands (including but not limited to Vegas 3D, Rinehart, McKenzie, Delta, and similar manufacturers) solely to describe compatibility with those products. Okami Vision is not affiliated with, sponsored by, or endorsed by any target manufacturer referenced in the App. All third-party trademarks are the property of their respective owners.

User Accounts

You may need to create an account to access certain features of the Service. When You create an account, You agree to provide accurate, complete, and current information and to keep it updated.

You are responsible for safeguarding Your password and for all activities that occur under Your account. You agree to notify Us promptly of any unauthorized access to or use of Your account. We may suspend or terminate accounts as described in these Terms.

Accounts are for individual use. You may not sell, transfer, or share Your account with another person.

User Content

The Service may allow You to create, upload, submit, store, send, or share content, including text, images, and other materials ("User Content"). You retain any rights You may have in Your User Content.

By submitting User Content through the Service, You grant the Company a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, and analyze Your User Content for the purposes of: (a) operating and providing the App's core scoring functionality to You; (b) maintaining and improving the App's computer vision models and related technology, including training and evaluating machine learning models; and (c) other purposes described in Our Privacy Policy. Where We use User Content to train or improve Our models, We will do so consistent with the disclosures in Our Privacy Policy and any preferences You have set in the App.

You represent and warrant that: (i) You own or have the necessary rights to submit User Content, and (ii) Your User Content does not violate applicable law or the rights of any third party.

You further represent and warrant that Your User Content does not include images of any other identifiable person without that person's consent.

We may remove or disable access to User Content at any time if We reasonably believe it violates these Terms or applicable law.

You agree not to submit User Content that is unlawful, infringing, obscene, or that violates the rights of any third party.

Purchases, Subscriptions, and In-App Purchases

The Service may allow You to purchase goods (products or items) and services, including one-time purchases and subscription plans. Availability, pricing, taxes, and other purchase terms may be described on the Service at the time of purchase and are incorporated into these Terms.

Payments for purchases made through the Website may be processed by third-party payment processors. You agree to provide current, complete, and accurate purchase and account information for all purchases made through the Service.

In-App Purchases: If You make a purchase through an Application Store (for example, the Apple App Store or Google Play Store), the Application Store will process the payment using the payment method associated with Your account. Your purchase may be subject to the Application Store's terms and policies, including refund and cancellation policies.

Okami Vision does not directly process payments made through an Application Store and cannot issue refunds outside of the applicable Application Store's own policies.

Subscriptions: If the Service offers subscription plans, subscriptions may renew automatically unless You cancel before the renewal date. You can manage or cancel subscriptions through the Service or, if You purchased through an Application Store, through that Application Store account settings. We may change subscription pricing from time to time as permitted by law and will provide any required notice.

Paid subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date, in accordance with the applicable Application Store's subscription management settings.

Except as required by law or by applicable Application Store policy, downgrades, cancellations, or account terminations do not entitle You to a refund or credit for the unused portion of a billing period.

Okami Pro: Okami Pro is an auto-renewing subscription offered in the App, billed monthly or annually. The price, billing period, and any free trial are shown before You confirm the purchase. When You purchase through the Apple App Store, payment is charged to Your Apple ID at confirmation of purchase. The subscription renews automatically for the same period unless You cancel at least 24 hours before the end of the current period, and Your account is charged for the renewal within 24 hours before the current period ends. You can manage or cancel Okami Pro at any time in Your Apple ID account settings (Settings > Your Name > Subscriptions).

Free Trials: A free trial, where offered, is available to new subscribers only. If You do not cancel at least 24 hours before the trial ends, the subscription converts to a paid subscription at the price shown at purchase. Any unused portion of a free trial is forfeited when You purchase a subscription.

Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of the Company and its licensors. The Company name, logo, visual design, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its licensors. You may not use such marks without the prior written permission of the Company.

Subject to Your compliance with these Terms, We grant You a limited, non-exclusive, non-transferable, revocable license to download and use the App on a device You own or control, solely for Your personal, non-commercial use.

Feedback

If You provide Us with any feedback, suggestions, ideas, improvements, or recommendations regarding the Service ("Feedback"), You acknowledge and agree that We may use, share, and exploit such Feedback for any purpose, without restriction and without compensation or credit to You. You are not required to provide Feedback.

Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable law or regulation;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or model weights of the App;
• Use any automated system (bots, scrapers, or similar tools) to access the App in a manner that sends more requests than a human could reasonably produce;
• Interfere with, disrupt, or attempt to gain unauthorized access to the App, its servers, or any connected network;
• Use the App to infringe the intellectual property rights of any third party, including target manufacturers or other rights holders;
• Misrepresent App-generated scores as official, certified, or sanctioned results;
• Upload User Content that violates the User Content section above; or
• Use the App in any manner that could disable, overburden, or impair its functionality for other users.

We reserve the right to suspend or terminate Your access to the App for violation of this section.

Promotions, Contests, and Sweepstakes

We may offer promotions, contests, sweepstakes, or similar offers from time to time (each, a "Promotion"). Promotions may be governed by separate rules, terms, or eligibility requirements that will be made available to You at or near the time of the Promotion. If there is a conflict between those rules and these Terms, the Promotion rules will govern for that Promotion. We may modify, suspend, or cancel any Promotion to the extent permitted by applicable law.

Links to Other Websites and Third-Party Services

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.

The App may also reference or interoperate with third-party products, including third-party archery targets, and may use third-party services (such as cloud storage or authentication providers) to operate. We do not control and are not responsible for these third-party products or services.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

Termination

You may stop using the App and delete Your account at any time through the App's account settings or by contacting Us at [email protected].

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately.

The sections of these Terms addressing User Content licensing (as to previously submitted User Content used in already-trained models), Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution and Arbitration, and General Provisions will survive termination.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the greater of: (a) the amount actually paid by You through the Service in the twelve (12) months preceding the claim, or (b) fifty U.S. dollars ($50).

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of these Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.

Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

We do not warrant that the App's scoring, analysis, or any other output will be accurate, reliable, uninterrupted, error-free, or free of defects. Automated image analysis has inherent limitations, including limitations related to lighting, camera angle, target condition, and arrow visibility, which may affect the accuracy of any score or measurement provided.

The App does not provide coaching, medical, or safety advice. Archery involves inherent risks. You assume all risk associated with Your participation in archery activities, and the App is not a substitute for proper training, supervision, or safety equipment.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Okami Development, LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your use of the App; (b) Your User Content; (c) Your violation of these Terms; or (d) Your violation of any rights of a third party.

Governing Law

The laws of the State of Arizona, United States, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

Dispute Resolution and Arbitration

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company. You agree to attempt informal resolution for at least 30 days before filing a claim.

Binding Arbitration. If a dispute is not resolved informally, You and Okami Vision agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App will be resolved by binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court. The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect, and will take place in Maricopa County, Arizona, or another mutually agreed location, or may be conducted remotely where permitted.

Class Action Waiver. YOU AND OKAMI VISION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms.

Exceptions. Nothing in this section prevents either party from seeking injunctive or other equitable relief for infringement or misuse of intellectual property rights.

For European Union (EU) Users

If You are a European Union consumer, You will benefit from any mandatory provisions of the law of the country in which You are resident.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

You agree to comply with all applicable export and re-export control laws in connection with Your use of the App.

Severability, Waiver, and Other Terms

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Entire Agreement

These Terms, together with Our Privacy Policy, constitute the entire agreement between You and Okami Vision regarding the App and supersede any prior agreements.

Assignment

You may not assign or transfer these Terms without Our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Apple App Store Terms

If You download the App from the Apple App Store, You acknowledge that these Terms are between You and Okami Vision only, not with Apple, and Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. Apple is a third-party beneficiary of these Terms and will have the right to enforce them against You.

Your use of the App downloaded from the Apple App Store is also governed by Apple's Licensed Application End User License Agreement (the "Standard EULA"). These Terms supplement the Standard EULA; if they conflict, the Standard EULA governs to the extent of the conflict as it relates to Your license to use the App.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on Our Service. You agree that the original English text shall prevail in the case of a dispute.

Changes to These Terms and the App

We may modify, suspend, or discontinue the App or any feature of the App at any time, with or without notice.

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service.
